Icertis treats contracts as an operational source of business rules, commitments and risk. Its Vera AI layer supports work before signature, administration after signature and analysis across the portfolio. The useful buying question is whether those capabilities connect the agreement to what the organization actually does, rather than merely produce a faster summary of a document.

In brief
  1. 01The offer Contract lifecycle management with AI for drafting, negotiation, obligation management and portfolio intelligence.
  2. 02The fit Enterprises with repeated contracting work and responsibility for commitments after agreements are signed.
  3. 03The scope Current official product and announcement material, with a proposed supplier-renewal workflow; no private contract or product instance was accessed.

01 / ProductVera connects three parts of the contracting lifecycle

The current Icertis platform page organizes its offer around Engage, Operate and Analyze. Vera Engage addresses pre-signature work, the contract-management foundation and Vera Obligations address ongoing administration, and Vera Analytics supports portfolio insight. Vera Copilot provides a conversational way to access and act on contract context across that system.

The June 2026 announcement describes a revised contracting experience with agent-driven drafting and redlining, a reimagined Copilot and portfolio analysis. This is the current product framing used here. Older NegotiateAI material can explain earlier functionality, but should not be treated as the complete current packaging or a separate company.

The Vera Foundation explanation describes a shared data lake, knowledge graph, agentic platform and model gateway. It also describes Word-based redlining against company playbooks, with rationale for proposed changes. For a buyer, the important consequence is that contract language must be interpreted with the company's rules and related agreements, not in isolation.

Icertis also acquired Dioptra to add AI contracting capabilities. The acquisition is part of the Icertis company identity covered here. It is not evidence that all historical Dioptra terms, prices or access routes remain available as an independent offer, and this blueprint does not count the acquired product as another company.

02 / AudienceA portfolio with ongoing commitments makes the scope useful

A procurement team with many supplier agreements is a natural audience. The job includes agreeing terms, understanding amendments, recording obligations and deciding what to do before renewal. Different people may own each stage. Icertis is relevant when connecting those stages has business value beyond making the legal review of one document faster.

The platform is less compelling for a team that needs only an occasional document summary and has no intention of maintaining a contract repository or obligation process. The implementation burden includes cleaning records and clarifying ownership. A sophisticated answer layer cannot compensate for a repository that confuses drafts with signed versions.

The Luminance blueprint offers a comparison for AI-assisted contract review and negotiation. The Harvey blueprint provides an adjacent perspective on legal research and professional workflows. Compare the complete job from request through ongoing performance, rather than choosing a platform based only on its redlining demonstration.

03 / WorkflowA proposed renewal review grounded in the contract family

Imagine a business preparing to renew a supplier agreement while reviewing whether the supplier met its commitments. This is an illustrative workflow, not legal advice or a product test. The intended output is a verified review packet and an accountable renewal decision. A generated risk summary is an aid to that process, not the decision itself.

Start by assembling the contract family: the executed master agreement, relevant statements of work, amendments and any notices already sent. Link documents to the correct parties and preserve version history. If an amendment changes a notice period, the review must see that relationship; searching the master agreement alone can produce an answer that is textually accurate but operationally wrong.

Use Copilot to find the relevant contracts and explain the renewal provisions with references to the underlying language. Icertis's September 2026 Copilot demonstration describes questions about expiring contracts and auto-renewal clauses, followed by exploration of amendments and associated agreements. That supports the proposed discovery step, while leaving the reader responsible for verifying the operative documents.

Next, compare contractual obligations with the records of actual performance. A service-level promise in a contract and an operational measurement are different kinds of evidence. Keep the source, reporting period and owner of each measurement visible. The absence of a recorded breach is not proof that the supplier met every commitment if nobody has been collecting the necessary data.

Prepare a negotiation playbook that distinguishes mandatory positions, permitted alternatives and issues requiring specialist judgment. Vera Engage's documented redlining approach applies a company playbook and explains suggested edits. In this proposal, use it to prepare changes for review, while retaining the original clause and the reason for changing it.

Have the responsible commercial and legal reviewers examine the proposal together. A clause that appears favorable in isolation can conflict with a pricing concession or another agreement in the family. Reviewers need the relationship and business context, not only a highlighted word change. Record which departures were accepted and by whom.

After the agreement is finalized through the organization's established execution process, reconcile the signed version with the approved terms. Then create the obligations, owners and review dates required to operate it. Do not populate ongoing obligations from a negotiation draft simply because that version was easiest for the AI to parse.

Test the workflow with an unsigned amendment, a supplier name change, two contracts with conflicting renewal dates and a commitment that depends on another party's action. Ask reviewers to identify the source supporting each important conclusion. Measure missing-document discovery, review effort and the accuracy of the final obligation record, not just how quickly the first summary appears.

Keep escalation meaningful. When the documents conflict, the system should preserve the conflict and the responsible reviewer. Producing one confident answer can hide the exact issue the business needs to resolve. A useful contract platform makes uncertainty actionable without pretending that a language model has authority to settle it.

04 / PricingCommercial scope follows the contract work being purchased

Icertis platform and demo route, consulted 23 September 2026. Contact-led commercial scoping; no public list price verified.

The current Icertis demo page directs buyers to an expert who assesses goals and recommends solutions. The platform page presents the product architecture but no complete public currency price or universal usage allowance was verified. The table therefore maps the commercial discussion to business scope rather than assigning invented seat prices.

Separate the number of users from the size and complexity of the contract estate. A small legal team may manage a large portfolio with extensive migration needs, while many business users may only submit a standardized request. A scoped proposal should say which capabilities, integrations, environments and services are included, and how expanded AI usage would be treated.

Budget the work required to make contract records trustworthy. In the renewal example, identifying executed versions, linking amendments and assigning obligation owners can determine whether AI outputs are useful. These are implementation responsibilities rather than evidence that a particular vendor fee applies. Ask the proposal to make their ownership explicit.

05 / DistinctionsThe contract family matters more than an isolated clause

Icertis's distinctive proposition is the connection between contract context and operational consequences. A renewal decision may depend on related agreements, accepted exceptions and unfulfilled commitments. A tool that only summarizes the latest PDF can miss those relationships even when its prose sounds precise.

The Engage, Operate and Analyze structure makes that lifecycle visible. It encourages buyers to consider what happens after a negotiation concludes and how lessons from the portfolio should affect the next negotiation. The value must still be demonstrated with the buyer's records; vendor claims about faster contracting are not measurements for a new deployment.

Playbooks also provide a concrete way to inspect the AI's contribution. A proposed edit can be compared with the approved position, rationale and permitted fallback. This is more useful than an unexplained risk label, particularly when two reviewers would otherwise interpret the same clause differently. Maintaining the playbook becomes a continuing business responsibility.

06 / QuestionsConfirm the active capabilities and the boundaries of interpretation

Which Vera components are available in the proposed deployment and commercial package? The 2026 announcements describe a connected experience, but a launch announcement does not provide a complete entitlement schedule. Require a demonstration using the specific drafting, obligation and analysis capabilities the team intends to purchase.

How are source documents, extracted data and proposed changes separated? The system should allow a reviewer to return to the exact agreement language and version behind a conclusion. Ask how it handles a missing amendment or a document that could not be processed. Silent omissions are especially consequential in portfolio-wide questions.

Who is responsible for the obligation once it has been extracted? A deadline without an accountable owner is only another record. Confirm the handoff into the business system where performance is monitored, and verify that contract changes update the obligation record deliberately rather than leaving contradictory instructions in circulation.

07 / DecisionChoose the lifecycle the organization can maintain

Icertis deserves evaluation when the organization wants contract AI connected to the continuing administration of its agreements. Begin with a portfolio where document relationships and business ownership can be established, then test one complete workflow. The supplier-renewal example gives legal, procurement and operations a shared result to inspect.

Expand when the system produces reviewable evidence, supports approved negotiation decisions and leaves accurate obligations after signature. If the repository remains unreliable or ownership remains unclear, improve those foundations before widening the AI scope. The contract's business value depends on the organization's ability to act on it.
